Terms and Conditions of Sustainable Grid Tech Ltd (SGT Ltd)

Introduction

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "Customer") and Sustainable Grid Tech Ltd ("SGT Ltd," "we," "us," or "our"). By engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. Payment Terms

1.1. Standard payment terms are 14 days from the date of the invoice.

1.2. Late payments will attract interest of 5% per calendar week, compounded weekly, on the outstanding amount until full payment is received.

1.3. All project invoices must be paid in full for the Customer to gain ownership of any intellectual property produced as part of the project.

2. Intellectual Property (IP)

2.1. SGT Ltd retains ownership of all intellectual property created during the project until all project invoices are settled in full.

2.2. Upon full payment, SGT Ltd grants the Customer a perpetual license to use the delivered items unless explicitly stated otherwise in the project agreement.

2.3. SGT Ltd reserves the right to use the intellectual property for promotional purposes unless otherwise agreed in writing.

2.4. The Customer must not reverse engineer, duplicate, or otherwise exploit the intellectual property beyond the terms specified in the agreement.

3. User-Generated Content

3.1. Any content provided by the Customer for use in the project remains the property of the Customer.

3.2. The Customer warrants that any content provided does not infringe upon any third-party intellectual property rights. SGT Ltd will not be liable for any claims arising from the use of such content.

4. Project Termination

4.1. Termination by the Customer:

• More than 90 days before the scheduled project start date: No fee payable.
• Within 30 days of the scheduled project start date: 50% of the project initiation value payable.
• Within 7 days of the scheduled project start date: 80% of the total project value payable.

4.2. Termination by SGT Ltd:

• SGT Ltd reserves the right to terminate the agreement if the Customer breaches any material terms. In such cases, the Customer remains liable for any outstanding fees.

5. Limitation of Liability

5.1. SGT Ltd will not be liable for indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of revenue, profits, or data.

5.2. Our liability for any claim arising from this agreement is limited to the total amount paid by the Customer for the project in question.

6. Governing Law

6.1. These Terms are governed by and construed in accordance with the laws of the United Kingdom. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

7. Changes to Terms

7.1. SGT Ltd reserves the right to amend these Terms from time to time. Customers will be notified of any material changes. Continued engagement with SGT Ltd constitutes acceptance of the revised Terms.
